Welcome to Omni Books ERP. These Terms and Conditions (“Terms”) govern your use of https://omnibookserp.com/ (the “Website”) and your purchase and use of the Omni Books ERP software, modules, add-ons and related services (the “Services”). By using the Website or the Services, you agree to these Terms. If you do not agree, please do not use them.

In these Terms, “we”, “us” and “our” mean Tally Globe, the provider of Omni Books ERP. “You” means the person or organization using the Website or Services.

About Omnibooks ERP

Omnibooks ERP is a modular enterprise resource planning (ERP) solution for small and medium enterprises. Modules include accounting, inventory, payroll, multi-branch management, POS (supermarket), restaurant, hotel, production, service management, CRM, pharmacy and tailoring. Available modules depend on the license plan you select.

Use of the Website

You agree to use the Website lawfully and not to:

  • Submit false, misleading or unauthorized information in our forms.
  • Attempt to gain unauthorized access to the Website, its servers or any connected systems.
  • Introduce viruses, malware or other harmful code.
  • Copy, scrape or reproduce Website content for commercial use without our written permission.
  • Use the Website in a way that harms its performance or other users.
Enquiries, Demos and Quotes

Submitting a contact, demo or quote form is a request for information only. It does not create a contract. A binding agreement is formed only when we issue a written quotation or order form and you accept it. Quotes are valid for the period stated in the quotation.

License Plans

Omnibooks ERP is offered under the following license plans:

  • Basic Plan: Accounting, Inventory, POS (Supermarket), Restaurant and Pharmacy modules.
  • Standard Plan: Everything in Basic, plus Project Management, Multi-Branch Management, Payroll, Service and Production modules.
  • Premium Plan: Everything in Standard, plus Hotel, CRM and Tailoring modules.

Module lists may be updated over time. The modules and terms in your signed quotation or order form take priority.

License Grant and Restrictions
  • Lifetime license. Subject to payment of the agreed fee, we grant you a non-exclusive, non-transferable license to use the licensed modules for your internal business operations. The license fee is a one-time payment unless your order form says otherwise.
  • Scope. The license covers the number of users, companies or branches stated in your order form.
  • Restrictions. You may not copy, resell, sublicense, rent, reverse engineer, decompile or modify the software, or remove any proprietary notices, except where applicable law allows it.
  • Ownership. We retain all intellectual property rights in Omnibooks ERP. No ownership rights are transferred to you.
Cloud Hosting

If you choose cloud hosting, an additional yearly hosting fee applies. Hosting fees are due before the start of each hosting year. If hosting fees are not paid, we may suspend cloud access after giving you reasonable notice. We will make your data available for export for a reasonable period [e.g. 30 days] after suspension or termination.

Server-based (on-premises) installations are hosted and maintained by you, including your own backups, hardware, network and security.

Fees and Payment
  • Fees are as stated in your quotation or order form and are exclusive of taxes (VAT, GST, withholding tax, etc.) unless stated otherwise.
  • Payment terms are [e.g. 100% in advance / 50% advance, 50% on delivery].
  • We may charge interest or suspend services for overdue amounts after notice.
  • License fees are non-refundable once the software has been delivered or activated, except as required by law or stated in writing.
Implementation, Training and Support

Implementation, data migration, customization, training and support are provided as described in your order form. Work beyond the agreed scope may be charged separately. 

Your Data
  • You own the business data you enter into Omnibooks ERP (“Customer Data”).
  • You are responsible for the accuracy and legality of Customer Data and for keeping your login credentials secure.
  • You are responsible for maintaining regular backups of any server-based installation.
  • We process personal data in line with our Privacy Policy and, where relevant, a data processing agreement.
Accounting and Tax Disclaimer

Omnibooks ERP is a software tool. Reports, calculations, tax settings and payroll outputs depend on the data and configuration you provide. You remain responsible for checking them and for complying with accounting, tax, payroll and other laws in your country. Nothing on the Website or in the Services is legal, tax or accounting advice.

Third-Party Links and Services

The Website may link to or use third-party services (such as maps, social media, WhatsApp, payment gateways or analytics). We do not control them and are not responsible for their content or practices.

Warranties and Disclaimer

We provide the Website and Services with reasonable skill and care. To the fullest extent permitted by law, we do not guarantee that the Website or Services will be uninterrupted, error-free or meet every requirement, and all implied warranties are excluded. Any descriptions of features on the Website are for general information; the features in your order form apply.

Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental or consequential losses, including lost profits, lost revenue, lost data or business interruption.
  • Our total liability for any claim relating to the Services is limited to the fees you paid to us for the relevant Services in the [12] months before the claim arose.

Nothing in these Terms limits liability that cannot be limited by law.

Indemnity

You agree to indemnify us against claims or losses arising from your breach of these Terms, your misuse of the Services, or Customer Data that you had no right to submit.

Termination

We may suspend or end your access to the Website or Services if you breach these Terms or fail to pay fees after notice. You may stop using the Services at any time, but fees already paid are not refundable unless stated in writing. Sections that by nature should survive termination (including ownership, payment, liability and governing law) will continue.

Changes to These Terms

We may update these Terms from time to time. The “Last updated” date shows the latest version. Continued use of the Website after changes means you accept the updated Terms. Material changes to an existing contract will be agreed in writing.

Governing Law and Disputes

These Terms are governed by the laws of [country/state, e.g. India / Rwanda]. Any dispute will first be discussed in good faith, and if not resolved, will be subject to the exclusive jurisdiction of the courts of [city, country].

General
  • Entire agreement: These Terms and your order form are the whole agreement between us on this subject.
  • Severability: If a provision is found unenforceable, the rest stays in effect.
  • No waiver: Not enforcing a right is not a waiver of it.
  • Assignment: You may not transfer your rights under these Terms without our written consent.
